By accessing, browsing, or using any services provided by Metanet Technologies Limited ("Metanet", "we", "us", "our"), including but not limited to our website at metanettechnologies.co.ke, fiber internet services, wholesale connectivity, dedicated internet access, and any related products or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, and Cookie Policy (collectively, the "Agreement"). If you do not agree to any part of this Agreement, you must immediately cease using our Services.
These Terms constitute a legally binding contract between you (whether an individual or an entity) and Metanet Technologies Limited, a company incorporated under the laws of the Republic of Kenya.
In these Terms, the following definitions apply:
You must be at least 18 years of age and possess the legal capacity to enter into a binding agreement. For business accounts, the person registering must be duly authorised to act on behalf of the organisation. By registering, you represent and warrant that all information provided is accurate, current, and complete. You agree to update your information promptly if it changes.
Metanet reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion, including but not limited to cases where we suspect fraud, misrepresentation, or violation of these Terms.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether authorised by you or not.
Metanet provides fiber-optic internet connectivity services including:
All speed tiers represent maximum achievable speeds under optimal conditions. Actual speeds experienced may vary due to factors including but not limited to network congestion, equipment limitations, Wi-Fi interference, the number of connected devices, the performance of third-party websites and services, and the Customer's internal network configuration.
Metanet makes no guarantee that the Services will be uninterrupted, error-free, or free from security vulnerabilities. The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by Kenyan law.
Price Changes: Metanet reserves the right to modify pricing at any time. Any price increase will be communicated to you via email and/or notice on our website at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the new pricing. If you do not accept a price change, you may terminate your service without penalty before the effective date.
Payment Methods: We accept M-Pesa, bank transfer, and debit/credit card payments.
Late Payment: Payment is due on the first day of each billing cycle. A grace period of 7 calendar days applies. After the grace period, Metanet reserves the right to suspend or restrict the Services without further notice.
Disputed Charges: Any billing disputes must be raised within 30 days of the invoice date. Failure to raise a dispute within this period constitutes acceptance of the charges.
Taxes: All prices listed are exclusive of applicable taxes. Metanet reserves the right to apply taxes, levies, or duties as required by law. Any applicable taxes will be itemised on your invoice.
The Customer must provide Metanet with reasonable access to the Premises for installation, maintenance, and repair. The Customer warrants that they have the legal right to authorise installation at the Premises (as owner or with landlord consent).
Equipment: The Optical Network Terminal (ONT) provided by Metanet remains the sole property of Metanet at all times. The Customer is granted a non-transferable licence to use the ONT solely for the purpose of accessing the Services. The Customer shall not modify, tamper with, relocate, or sublicense the ONT.
Routers purchased by the Customer become the Customer's property. Routers rented from Metanet remain Metanet's property and must be returned upon termination.
The Customer is responsible for the safekeeping of all Metanet-owned Equipment. Loss, theft, or damage to Metanet-owned Equipment (excluding normal wear and tear) will result in a replacement charge at the current retail value.
Upon termination of the Services, the Customer must return all Metanet-owned Equipment (ONT and any rented routers) in good working condition within 14 calendar days. Failure to return Equipment will result in a charge equivalent to the replacement cost.
The Customer agrees to use the Services in compliance with all applicable laws of the Republic of Kenya, including but not limited to the Kenya Information and Communications Act, the Computer Misuse and Cybercrimes Act 2018, the Data Protection Act 2019, and any regulations issued thereunder.
The Customer shall comply with our Acceptable Use Policy at all times. Violation of the Acceptable Use Policy constitutes a material breach of these Terms.
The Customer shall not resell, redistribute, or share the Services with any third party without the prior written consent of Metanet. Residential services are for personal, non-commercial use only unless otherwise agreed in writing.
Business and Wholesale Services: Business-grade services are subject to a separate Service Level Agreement that defines uptime guarantees, response times, resolution targets, and service credit mechanisms. The SLA forms part of the Agreement for business customers.
Scheduled Maintenance: Metanet reserves the right to perform scheduled maintenance that may temporarily affect the Services. We will provide at least 48 hours' advance notice for planned maintenance. Emergency maintenance may be performed without advance notice when necessary to protect the integrity of the network.
Exclusions: Uptime calculations exclude downtime caused by Force Majeure events, Customer equipment failures, Customer network configuration issues, third-party service outages, scheduled maintenance, and any period during which the Customer's service was suspended for breach of these Terms.
Metanet reserves the right to immediately suspend, restrict, or terminate the Services, in whole or in part, without prior notice and without liability, if:
Suspension does not relieve the Customer of the obligation to pay all outstanding charges. Metanet shall not be liable for any loss or damage arising from the suspension or termination of Services under this section.
By Metanet: Metanet may terminate the Services for any reason by providing 30 days' written notice. Metanet may terminate immediately without notice in cases of material breach, non-payment, illegal activity, or network abuse.
Effect of Termination: Upon termination: (a) all outstanding charges become immediately due and payable; (b) all Equipment must be returned within 14 days; (c) Metanet will cease providing the Services; (d) any data stored on Metanet systems may be deleted after 30 days.
Termination does not affect any rights or liabilities that have accrued prior to the termination date.
All intellectual property rights in the Services, including but not limited to the website, software, logos, trademarks, content, and documentation, are and shall remain the property of Metanet Technologies Limited or its licensors. Nothing in these Terms transfers any intellectual property rights to the Customer.
The Customer is granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose only.
TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF KENYA:
Exclusion of Indirect Damages: Metanet shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business, loss of goodwill, business interruption, or any other commercial damages or losses, arising out of or in connection with the Services, even if Metanet has been advised of the possibility of such damages.
Cap on Liability: Metanet's total aggregate liability arising out of or in connection with the Services shall not exceed the total amount paid by the Customer for the Services during the three (3) months immediately preceding the event giving rise to the claim.
No Liability for Third Parties: Metanet is not responsible for the content, services, or practices of third-party websites or services accessed through the Services. The Customer uses third-party services at their own risk.
No Liability for Security Breaches: While Metanet implements reasonable security measures, Metanet does not guarantee the security of the Customer's data transmitted over the internet. The Customer acknowledges that no internet transmission is completely secure.
The Customer agrees to indemnify, defend, and hold harmless Metanet Technologies Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from a Force Majeure event. Force Majeure events include but are not limited to: natural disasters (floods, earthquakes, storms), acts of war or terrorism, government actions or sanctions, power outages beyond Metanet's control, fiber cuts by third parties, pandemics or epidemics, civil unrest, and failure of third-party infrastructure.
The affected party shall notify the other party as soon as reasonably practicable of the Force Majeure event and its expected duration. If a Force Majeure event continues for more than 60 consecutive days, either party may terminate the affected Services without liability.
Metanet processes personal data in accordance with the Kenya Data Protection Act, 2019 and our Privacy Policy. By using the Services, the Customer consents to the collection, processing, and storage of their personal data as described in the Privacy Policy.
Metanet will not sell, rent, or trade Customer personal data to third parties for marketing purposes. Data may be disclosed to law enforcement or regulatory authorities when required by law or court order.
Mediation: If the dispute is not resolved within 30 days of the initial notice, either party may refer the dispute to mediation under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
Arbitration: If mediation is unsuccessful, the dispute shall be referred to and finally resolved by arbitration under the Arbitration Act (Cap 49, Laws of Kenya). The arbitration shall be conducted in Nairobi, Kenya, in the English language.
Injunctive Relief: Nothing in this section prevents either party from seeking urgent injunctive or interim relief from any court of competent jurisdiction.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Subject to the dispute resolution provisions above, the courts of Kenya shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
The failure of Metanet to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Metanet.
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and any applicable SLA, constitute the entire agreement between the Customer and Metanet with respect to the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
Metanet reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address on file and/or by prominent notice on our website at least 30 days before taking effect. The Customer's continued use of the Services after the effective date of any changes constitutes acceptance of the modified Terms. If the Customer does not agree to the modified Terms, the Customer must discontinue use of the Services before the effective date.
